Directorship Services

GFin offers independent director services for hedge funds, private equity funds, SPVs and other structures in and outside Mauritius e.g. BVI and Cayman Islands.

In the current environment, there is heightened focus on good corporate governance, independent oversight and decision-making within funds and SPVs. Clients are seeking a service that is tailored for their needs and objectives in addition to high-quality independent regulation by service providers who can constructively evaluate the actions of the executive management. GFin offers qualified and experienced directors who are committed to addressing these needs. GFin’s directors have extensive experience with financial markets, corporate governance, investment funds and SPV structures and offer a proactive service in which there is regular dialogue between the director and the client.

As a minimum, we will provide the following directorship services: ­

  • Attendance at regular board meetings in person or by conference call as frequently as required by virtue of the company’s investment strategy and activities
  • Regular proactive dialogue with the client and other board directors
  • Review of any significant contract to be entered into by the compan
  • ­Review and approval of the company’s financial statements
  • Review of proposed changes to statutory documentation, including the company’s memorandum and articles of association, prior to the company adopting such changes
  • If the company is an investment fund, reviewing its offering document, prior to those documents being adopted.
Investor Reporting

From the management and ‘front to back’ administration of your in-house bank to the netting and hedging of your pool’s consolidated cash flows, GFin has the experienced professionals, systems and the know how to run your treasury centre in the most cost-effective and efficient manner possible.

Cash-bond administration and investor reporting are key control functions for all securitisation issues, including investor reports, waterfall calculations and cash management procedures.

Our team can provide you with investor reporting, consisting of reporting services to investors in the SPVs with regards to, amongst others, portfolio stratifications, cash flow generation, prepayments, waterfalls and arrears.

Calculation and Payment Agency Services

More specifically, our SPVs & trustee services include:

Limited Partnerships

GFin shall assist you in the setting up and administration of a limited partnership in accordance with the laws of Mauritius:

  • ­Registered agent of the LP

Foundations

Listing

We can assist you for a listing on the Stock Exchange of Mauritius (SEM), which has been in operation since 1989, by coordinating the listing process and assist you in meeting the corporation’s continuing obligations as a listed issuer on the SEM. SEM is today one of the leading exchanges in Africa and a member of the World Federation of Exchanges (WFE).

GFin has the appropriate expertise to provide a smooth process for the listing of global business companies including investment companies and different categories of collective investment schemes. Our services include assessing the eligibility for listing of companies and providing assistance on the listing process, completion of application forms, reviewing of listing particulars, acting as authorized representative and attending to the on-going obligations under the Listing Rules as required by the SEM.

Real Estate

Real estate assets held through a Mauritius-registered structure facilitate real estate investing in a wide range of international locations, including Africa and India, without the need to have an establishment in every country where there is an investment. Aircraft Registration

GFin offers complete services for the registration of aircrafts, helicopters and private jets with the Mauritius International Aircraft Registry.
